1. Agreement
By engaging Patex Solutions ("we", "us", "our") for any services, you agree to these Terms of Service. These terms apply to all clients, visitors, and users of our website at patexsolutions.com.
2. Services
Patex Solutions provides digital marketing services including but not limited to Meta Ads management, Google Ads management, social media management, DM automation, CRM setup, ad creative production, website development, and SEO.
The specific scope of work, deliverables, timelines, and pricing for each engagement are agreed upon separately in a written proposal or service agreement before work commences.
3. Payment
- All fees are agreed upon in advance and invoiced as outlined in your service agreement.
- Payment is due within 7 days of invoice unless otherwise agreed.
- Late payments may result in paused services until the outstanding balance is settled.
- All prices are quoted in USD unless otherwise stated.
4. Cancellation & Refunds
Either party may terminate the engagement with 30 days' written notice unless a different notice period is specified in your service agreement.
Fees already paid for work completed or in progress are non-refundable. We do not offer refunds for ad spend, third-party platform costs, or work already delivered.
5. Client responsibilities
To deliver results, we require you to:
- Provide timely access to required accounts, assets, and information
- Review and approve deliverables within agreed timeframes
- Ensure that any content, materials, or information you provide does not infringe third-party rights
- Comply with the terms of platforms we manage on your behalf (Meta, Google, etc.)
6. Intellectual property
Upon full payment, you own all creative assets produced specifically for your business under this engagement (ad creative, copy, graphics, website files).
We retain the right to reference your business and results in our own marketing materials and case studies unless you request otherwise in writing.
7. Results disclaimer
We do not guarantee specific results from any marketing activity. Digital marketing performance depends on many factors outside our control, including platform algorithm changes, market conditions, and budget levels. We commit to applying best practices and transparent reporting throughout our engagement.
8. Limitation of liability
To the maximum extent permitted by law, Patex Solutions shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability in any circumstance shall not exceed the fees paid in the month in which the claim arose.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose it to third parties without prior written consent.
10. Changes to these terms
We may update these Terms of Service from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
